1.1 The following Terms of Service govern all use of win.sh's website and all software, content, product, documentation or services available at the related domains ("our services").
1.2 By accessing our services, you fully agree with these terms without any restriction.
1.3 These terms may be updated at any time and you consent to these updates.
2. Service Description
2.1 win.sh is an AI agent platform that provides autonomous business operations through one company operator for each business.
2.2 The company operator can execute tasks, connect to third-party services on your behalf, and make decisions based on your configured goals and authority settings.
2.3 The service uses third-party AI models via OpenRouter. Agent outputs are generated by AI and should be reviewed before acting on them. win.sh does not guarantee the accuracy or completeness of any agent output.
3. Important Disclaimers
By using this service, you acknowledge and agree to the following:
3.1 No Guarantee of Results: win.sh makes no guarantees regarding business outcomes, revenue targets, or the accuracy of agent decisions. AI agents operate based on available data and may produce incorrect or suboptimal results.
3.2 Human Oversight Required: You are responsible for reviewing and approving agent actions, especially those involving financial transactions, customer communications, or business-critical decisions. Agents may request approval for high-impact actions based on your authority settings.
3.3 Third-Party Integrations: When you connect third-party services (e.g., Stripe, analytics platforms), agents will access and act on data from those services. You are responsible for ensuring you have the right to grant such access and that agent actions comply with the terms of those services.
3.4 Data Processing: Agent tasks are executed in ephemeral cloud sandboxes that are destroyed after each task. Your business data is processed to provide the service and is stored in accordance with our Privacy Policy.
3.5 Cost and Budget: Agent operations consume credits. You are responsible for monitoring your credit usage and configuring budget limits. win.sh will pause agent operations when budgets are exceeded.
4. Prohibited Uses
You may NOT use our services to:
4.1 Violate any applicable federal, state, local, or international law or regulation.
4.2 Send spam, unsolicited communications, or engage in deceptive marketing practices.
4.3 Access or attempt to access other users' data or accounts.
4.4 Use agents to generate content that is harmful, misleading, or fraudulent.
4.5 Circumvent rate limits, budget controls, or other safety mechanisms.
4.6 Use the services in any manner that could disable, overburden, damage, or impair the platform.
4.7 Introduce viruses, malware, or other harmful material into agent sandboxes.
4.8 Attempt to gain unauthorized access to any part of the service or its infrastructure.
5. Your Account
5.1 By creating an account, you must provide accurate information as requested. You are solely responsible for securing your account.
5.2 Accounts created by bots or automated means are not permitted and will be terminated.
5.3 Your account may be terminated immediately and without notice if you violate these terms.
5.4 We reserve the right to refuse service to anyone for any reason at any time.
6. Disclaimer and Limitation of Liability
6.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
6.2 win.sh MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT AGENT OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR BUSINESS NEEDS.
6.3 win.sh and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, reputation, or other intangible losses.
6.4 You expressly understand and agree that win.sh shall not be liable for any damages resulting from: (i) decisions made based on agent outputs; (ii) actions taken by agents on connected third-party services; (iii) any business consequences arising from your use of the service.
6.5 IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7. Indemnification
7.1 You agree to indemnify, defend, and hold harmless win.sh, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these terms, or your violation of any rights of a third party.
8. Subscription and Payments
8.1 By paying a subscription, you will receive access to premium features for the subscription period.
8.2 Subscriptions automatically renew unless cancelled before the renewal date.
8.3 win.sh reserves the right to change pricing with thirty (30) days notice.
8.4 Refunds are provided within 7 days of purchase if you are not satisfied, subject to reasonable use limits.
8.5 We reserve the right to deny refunds in cases of abuse or excessive usage.
9. Intellectual Property
9.1 All content on the website, including text, graphics, logos, and software, is the property of win.sh and is protected by copyright laws.
9.2 You retain ownership of the original content you submit. You grant win.sh a limited license to process your content solely to provide the service.
9.3 We do not claim ownership of the processed output, but you are responsible for ensuring you have the right to use and distribute it.
10. Governing Law
10.1 These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
10.2 Any disputes arising from these terms or your use of the service shall be resolved through binding arbitration.
